NetAppsID Inc. operates the workspaceme.com Web site (the "Site"). The terms and conditions that appear below constitute a contract between you and NetAppsID, and govern the use of the Site. NetAppsID may modify these terms and conditions at any time, without prior notice.

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THE SITE.

By using the Site, you acknowledge having read and understood these conditions. If you do not wish to be bound by these terms and conditions, you shall not use the Site and order products through the Site.

1. TERMS OF USE

1.1 Restrictions Related to Use

Except as specified in one or another section of the Site, no element of the Site may be copied, reproduced, distributed, published, translated, downloaded, displayed or transmitted by any means, without prior written permission of NetAppsID or the owner of the copyright. You are permitted to display or download Site elements, but only for non-commercial purposes and only as long as you do not modify these elements and you retain all copyright and other proprietary notices that they contain.

1.2 Trademarks

The trademarks and logos used or displayed on the Site are trademarks, registered or not, by NetAppsID or third parties. Nothing in the Site may be interpreted so as to grant, directly or indirectly, the use of a trademark reproduced on the Site without the prior written permission of the trademark owner.

1.3 Limitation of Liability

The Site and the elements it contains are provided on an "as is" basis, without warranties of any kind, express or implied. To the fullest extent possible pursuant to the applicable law, NetAppsID disclaims all responsibility and provides no guarantee, including but not limited to, warranties of merchantability or fitness for a particular purpose. In addition, NetAppsID makes no representation with regard to the use, validity, accuracy or reliability of the elements reproduced on the Site, or with regard to the results obtained from the use of such elements. While NetAppsID does everything possible to ensure that the Site contains no errors, NetAppsID declines all responsibility with regard to any error that may be found on the Site. NetAppsID, its related companies, directors, employees, representatives or agents may not, under any circumstances, be held responsible for any damages related, directly or indirectly, to use of the Site, including, but not limited to, the loss of data or profit resulting from use of the elements of the Site, or from the inability to use these elements.

1.4 Material Transmitted by Users

You acknowledge, as users of the Site, that any element, information and opinion that you may transmit to NetAppsID, in any manner whatsoever, become the entire and exclusive property of NetAppsID and you waive any and all moral rights with regard to these elements. NetAppsID may, for any purpose whatsoever, without any compensation to you, use, reproduce, publish or license in any manner whatsoever the elements that you transmit to NetAppsID. Your are prohibited from posting or transmitting to NetAppsID elements that are illegal, defamatory, obscene or contrary to any applicable law. By transmitting to NetAppsID elements of content, you represent to NetAppsID that you own all of the rights to these, of any type whatsoever, including, without limitation, all intellectual property rights. NetAppsID reserves the right to not publish or to withdraw any element that you have transmitted to NetAppsID at its entire discretion, for any reason whatsoever. Any element, information and opinion that you may transmit through the Site, in any manner whatsoever, do not engage the NetAppsID responsibility. Any information, documents or data transmitted through the Site become the entire and exclusive property of the owner of the workspace. The workspace owner is responsible of the content that his workspace members may publish through the Site.

2 GENERAL CONDITIONS OF SALE

2.1 Price

2.1.1 The price payable for each product that you order is as set out with regard to each product offered on the Site;

2.1.3 NetAppsID reserves the right to modify the prices of products offered on the Site at any time, without prior notice;

2.1.4 All prices are in Canadian dollars;

2.2 Membership term and cancellation

2.2.1 Subject to the provisions set out below and the availability of such Services, this agreement shall come into force on the Effective Date and shall have a minimum term of thirty (30) days. The customer may at any time, upon at least thirty (30) days' prior notice to NetAppsID, cancel this agreement or ask NetAppsID for a subscription to another category of Services by paying the charges for the Service provided and its termination before term. 

2.2.2 The customer may either cancel this agreement or ask NetAppsID to modify the customer's Services or the duration of the customer's subscription, effective on the date of modification provided the customer has sent NetAppsID written notice to such effect within thirty (30) days of receiving the notice of modification .

2.3 Product Availability

2.3.1 NetAppsID does not guarantee in any case the availability of products offered on the Site. If NetAppsID is unable to deliver to you one or other of the products that you have ordered due to insufficient Hard Disk memory, NetAppsID will advise you by email or by phone when any products ordered which were not available become available. In such a case, you have the following options:

2.3.1.1 Request that we deliver the products to you, in which case a payment will be deducted from your credit card account for the products before the products are delivered to you; Refuse delivery of the products, in which case no payment will be deducted from your credit card account for the products.

Please note that after 90 days (120 days for import), orders for out of stock item(s) are automatically cancelled.

2.3.2 NetAppsID will not under any circumstances be responsible for any damage you may suffer due to insufficient inventory.

2.3.3 NetAppsID must have received the full payment for products to be delivered to you before proceeding with their online availability.

2.4 Responsibility

2.4.1 In the case where responsibility of NetAppsID to you may be held, such responsibility shall be limited to an amount of money equivalent to the prices you paid for the products cancellation;

2.4.2 Notwithstanding the preceding, nothing in this article may have for effect to limit any right you may have as a consumer with respect to one or other of the laws of public order that may be applicable to you.

2.5 Acts of God

NetAppsID shall not be responsible for non-performance, in whole or in part, for any of its obligations whatsoever toward you, nor for damages or losses you may suffer, if the non-performance, the damages or the losses result from an Act of God or from circumstances outside of its control.

The laws of the Province of Quebec shall apply to the interpretation of this privacy policy and these terms and conditions as well as any transaction using this website, notwithstanding any conflict of law provisions. All proceedings relating to this website, this privacy policy and these terms and conditions or any transaction, including the sale of any products using this website, shall be brought before the courts of the Province of Quebec.
